Acceptance of Terms
By accessing or using XeroLabs services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services
XeroLabs provides:
- Software development and engineering
- Cloud infrastructure solutions
- Cybersecurity consulting and implementation
- Technical consulting and advisory services
- AI estimator and project planning tools
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete project requirements
- Respond promptly to communication and requests
- Make timely payments as outlined in agreements
- Provide necessary access to systems and resources
- Review and approve deliverables within agreed timelines
Payment Terms
All services are provided on a project-based or hourly rate as specified in the project agreement. Payment is due within the timeframe specified in the invoice. Late payments may incur additional fees or result in project suspension.
Intellectual Property
Upon full payment, all custom code, designs, and deliverables created specifically for your project become your property. XeroLabs retains ownership of proprietary frameworks, libraries, and reusable components not specifically developed for your project.
Confidentiality
XeroLabs agrees to maintain the confidentiality of all client information, trade secrets, and proprietary data. This obligation survives the termination of our business relationship.
Warranties and Disclaimers
We warrant that services will be performed in a professional manner. However, we do not warrant that:
- Services will be error-free or uninterrupted
- Results will meet your specific business objectives
- Third-party integrations will function without issues
Except where prohibited by law, XeroLabs is not liable for any indirect, incidental, or consequential damages.
Termination
Either party may terminate the agreement with written notice. Upon termination:
- Client pays for all work completed to date
- XeroLabs delivers all completed work
- Confidentiality obligations remain in effect
Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
